the latest are posted at the bottom of the page... In the interest of not spreading rumors that are not facts or public record, I won't be posting any specific rumors about the previous General Manager, Board members or committee members. It is my hope that the rumors will be stopped and there will only be fact sharing through open communications from the CLPOC Board and various Committees. CANADIAN LAKES PROPERTY OWNERS CORPORATION BOARD OF DIRECTORS MEETING SATURDAY June 19, 2004 The meeting was called to order by CLPOC President Ken Swathwood at 8:05 a.m. All Board Members were present. Swathwood made a statement for the Board that Michael Fleming was no longer in our employment. The action is still with the attorneys so we have nothing to report at this time. As soon as we have all the information, we will notify everyone by mail. Until then, the Board will be making no more statements in regard to that. I wanted to make sure that everyone reading this was aware of the official position of the Board as of June 19, 2004. The key point to the above paragraph is "The action is still with the attorneys...". Experience would lead me to believe me that the "attorneys" were working on the legal terms of terminating the employent contract. That being the case, it would not be un-common for there to be terms in a legal settlement on what each party could and would communicate about the agreement and events leading up to it. So, we may only get to hear "I can't comment on that" or "We can't discuss this because of our legal agreement" from the Board on specifics of the agreement. I have no first hand knowledge of the settlement, so take this as an educated guess at why we are not getting the full story on the termination/resignation of our previous General Manager from the Board of Directors. Ron Emerson With all of the announced "changes" to the structure of the CLPOC Board of Directors, the release of the General Manager and the stated new directions Canadian Lakes must take, why not call a Town Hall Meeting at the Castle this weekend? With many members coming up for the 4th of July weekend, it would be a good opportunity to have questions asked and answered in person. ARTICLE VII BOARD OF DIRECTORS So, it appears that the remaining Board of Directors will get to hand pick the replacements for those who have resigned.

Ron;
-------- Original Message -------- I think we are entitled to an explanation for all the resignations. Why was Michael Fleming relieved of his duties and then his "resignation" suddenly accepted. There are rumors that I've heard about some very inappropriate behavior that if true would certainly disqualify Mr. Fleming from receiving 100 grand in severance from any responsible Board. If we have that kind of money to throw around, then why not give it back to the people that are paying it or we could probably pave some roads with it. There are Board members who are resigning with a lot of time left to their terms. Why are they resigning? Is it for the same reason that Mr. Fleming is resigning? (whatever that is). If not, it seems to me that if you disagree with the way an organization operates, you work hard to change it and get more folks elected to the Board that concur with your point of view - not resign. We are all owners of CLPOC and deserve the light of day to be shone on this information and told the whole truth no matter how ugly - we are the people that pay the bills. You may print my name if you want to.

Good morning,
Thank you,

Canadian Lakes Residents To Whom It May Concern: What is it about Canadian Lakes that we are so unfortunate to elect board members that get so self-centered they forget about the general population? It seems like they become dictators, know everything and nothing is going to change their minds. In the five years of my residence in Canadian Lakes I have attended only several board meetings for the simple reason I wonder why I waste my time when I see how issues are handled. In the last month I have attended (2) meetings and they left a lot to be desired. One board member, when he was being questioned, was manufacturing answers as he was trying to respond. Now the last week of June is local resignation week. I know why these resignations are happening. It is because of a few senseless people. These are not the people who should be resigning. It should be several of the other insignificant board members. Here at Canadian Lakes we have the (CLIC) Canadian Lakes Independent Committee and the (CLAC) Canadian Lakes Action Committee. Of course our board does not fall under the later. While writing this I just received a phone call advising me that Patty Hockett, our Royal Bar and Grill Manager, has submitted her letter of resignation. Who’s next ???? I can understand Patty’s reason for resigning because of the Board Liaison Representative who has been to three Restaurant Committee meetings, knows everything and now wants to change everything that the committee has worked so hard for over the past three years. Two board members got together with our Chef Matt Lotarski and decided to raise the menu prices without consulting with the Restaurant Committee to see if they had any input on the subject. We hired a consultant to study our restaurant operation and the committee was to study his report and come up with comments for a discussion. Then to have the consultant return for a recommendation meeting with the restaurant committee and the board of directors. Of course with the dismissal of our General Manager (now there is a real CLAC) by the board nothing has come of this!..Since Jeff Ratledge has taken on the lead of the restaurant committee he is going to make all the decisions as he says is the boards decision. This is a prerequisite for a board member. We act. Then, if we feel like it or we have to protect ourselves we will inform only those persons that we have to. Wake up Board Members. These are your neighbors you’re dealing with. This is not Corporate America. By the way, go to the CLPOC office and ask for a copy of the Executive Board Minutes. You are not entitled to them. What about the freedom of Information Act? Have to check that out? Maybe have the ACLU do the same. This board has just thrown a block into all the work dedicated people have completed for the Vision 2010, and the long range planning. How can you go forward with future plans when you have incompetent people serving on a management board? Something to think about. As long as we have a search committee for a new General Manager, let’s get a search committee started for a new board, after we have a recall election. Yes, I would be privileged to work on a recall petition. R. W. (Bob) Barrick PS: By the way I am resigning my position on the restaurant committee. I don’t believe there is any other need to explain why.
As to the issue of requesting any meeting minutes from the Board, I believe they are required by law to provide them:
NONPROFIT CORPORATION ACT (EXCERPT) Act 162 of 1982 450.2485 Books, records, and minutes. Sec. 485. A corporation shall keep books and records of account and minutes of the proceedings of its shareholders or members, board, and executive committee, if any. Unless otherwise provided in the bylaws, the books, records, and minutes may be kept outside this state. The corporation shall keep at its registered office, or at the office of its transfer agent within or without this state, records containing the names and addresses of all shareholders or members, the number and class of shares held by each shareholder or the class or classes of membership held by each member and the dates when they respectively became holders of record thereof or members. Any of such books, records, or minutes may be in written form or in any other form capable of being converted into written form within a reasonable time. A corporation shall convert into written form without charge any such record not in such form, upon written request of a person entitled to inspect them. History: 1982, Act 162, Eff. Jan. 1, 1983.
NONPROFIT CORPORATION ACT (EXCERPT) Act 162 of 1982 450.2487 Mailing balance sheet and statements to shareholder or member upon request; examination of minutes and records; compelling production of books, records, and minutes; extracts. Sec. 487. (1) Upon written request of a shareholder or member, a corporation shall mail to the shareholder or member its balance sheet as at the end of the preceding fiscal year; its statement of income for such fiscal year; and, if prepared by the corporation, its statement of source and application of funds for such fiscal year. (2) A person who is a shareholder or member of record of a corporation, upon at least 10 days' written demand, may examine for any proper purpose in person or by agent or attorney, during usual business hours, its minutes of shareholders' or members' meetings and record of shareholders or members and make extracts therefrom, at the places where they are kept pursuant to section 485. (3) Upon proof by a shareholder or member of a proper purpose, the circuit court may compel production for examination by the shareholder or member of the books and records of account, minutes, and record of shareholders or members of a corporation, and may allow the shareholder or member to make extracts therefrom. ------- Original Message -------- Ron, Is it possible to ask the Board to have a "town meeting" at the Castle so we can ask them questions regarding all the turmoil that is happening? Hopefully after the holiday weekend they need to give adequate notice for people to attend. Thank you for the website, it's great. Janice and Clay Covey
-------- Original Message -------- We as owners of CLPOC deserve the Truth as the real reason for the general manger resigning and then we pay him approx $100,000. Why do we hear we are are heading in New Directions and then told we need to figure what we need to do in the future, and why are so many good people resigning. Is it that the wrong person resigned? An unhappy mushroom,

------- Original Message -------- The Canadian Lakes Awareness Committee is still working to help make C/L a good place to live. We are going to the CLA today to get sponsored. We have the Highland Haus for Friday July 9th. 7:PM to have a town meeting. This will be for all C/L members & the board will be invited. We hope the question & answer will help to get back on track. After getting all the facts of the problems that have come to light on Mike such as his actions on the job and police reports. The board had no choice but to act the way they did. Major changes have to happen now.
Don Sutherland THE MEETING IS ON, NO BOARD MEMBERS HAVE RESPONDED AS OF JULY 6th.
-------- Original Message -------- If the board doesn't want to discuss it with us, maybe they want to discuss it with the media.
-------- Original Message -------- Could someone explain "the new direction" everyone keeps referring to. Maybe I am dense but it seems like everyone is ducking the questions about resignations. I think the home owners are due an explanation to this commotion that is occurring.
Thank You,
-------- Original Message -------- I agree with Steve Browser about people resigning (quitting). That's why you have a board in the first place is to have diversification on the board and reach consensus and move forward. Where would large corporations, the government, our country be if everyone quit?Even those elected officials in Washington don't quit - they negotiate and work it out. I don't know all the facts as everyone else. I do know that if the people that ran for the board had stated in their profiles that if they didn't like the way things were going, if they didn't get along with the other people and they didn't get their way they were going to QUIT - hardly think any of them would have been elected. I understand someone leaving for family illness or some life changing event but to leave and desert those who put their trust in you is almost childish. We are not at the age where we pick up our marbles and go home - we are at the age where we get the job done. This kind of behavior certainly didn't occur when you were employed for a living. I am not for recalling board members that stick it out through the thin and thick of it. They deserve our support as they are staying and attempting to get the job done. As I see it this board is trying to rectify mistakes made before them. They deserve a chance. Thanks for your time.

-------- Original Message -------- Subject: town meeting Date: Mon, 5 Jul 2004 18:14:03 -0400 Thank you, thank you to Don Sutherland (if you are the one responsible) for arranging the "town meeting". Hopefully we as members will get some of our questions and concerns addressed and some suggestions to move forward from here. We have been "the trunk slammers" for 10 years, and now only permanent residents for last 2 months. It has been our dream to move here to this bucolic community. Beckie Deyoung indicated in her letter re: her Board reassignment that there is trend to downplay the input of the 'trunkslammers." Obviously they are important, as in our case and I am sure for others, they become permanent, future residents.
See you at the meeting
-------- Original Message -------- Subject: board Date: Tue, 6 Jul 2004 15:17:13 -0400 To all board members and committee members who have resigned: Your were elected to do a job but evidently when things got tough, or not to your liking, you took your ball and went home. If you believed in what you were doing then you should have stayed and fought for it. The one who asked to be reinstated should not have been. Rash decisions are dangerous. To the members who resigned, GROW-UP! If Fleming did no wrong, then he deserves his compensation package except for 18 months paid COBRA. Usually it is only 6 months. If the rumors are true then he deserves nothing and we should take him to court. Be careful with the contracts you write. No name, please. -------- Original Message -------- Subject: Please Keep Me Anonymous Date: Tue, 6 Jul 2004 21:15:54 -0400 BUT --- I also do not know the fact from rumor......HOWEVER - I see the results.....and that is....Michael Fleming seems to have gotten things under control, things were getting better........I could see improvement. Canadian Lakes seems to be better for his efforts. I knew NOTHING until Ms. Mudel's e-mail saying something was up. Our current board (and those before it) operate in vacuum. I, for one, am tired of being treated like a mushroom - being kept in the dark and fed BS. Whatever is his PERSONAL life is his PERSONAL life........he's innocent until proven guilty ... I say this ONLY in defense of the ugly rumors that people seem to be spreading. Until he is guilty in a court of law - I will not believe the rumors I am hearing. After all, I still believe it takes two to tango....... I hope this Town Hall meeting will be fruitful in some sense or another........what is up with our board members? Resigning and not saying why? I applaud Ms. DeYoung's attempt at trying to explain what she felt was her reason to resign and then reconsider --- BUT she never said what her real reason for resigning was...............again.... more smoke and mirrors.....something our board seems very capable of. -------- Original Message -------- Subject: Board of Directors Date: Wed, 7 Jul 2004 16:18:57 -0400 Message to Remaining Board This community elected all of you to operate in a cohesive manner and do what is right for the community. It appears the "Divide & Conquer" approach is not working so well. I wrote my piece about members quitting but after some enlightenment I just had to share my thoughts with you. What "New" direction? Let's go in the "Right" direction. We have more people in Canadian Lakes than ever and we are growing every year. Our income should be greater and we should use the monies wisely. It should be treated like a business. Keep us SOLVENT, reduce DEBT and no backward movement on facilities & amenities. In my humble opinion the Board should be setting goals and objectives and those assigned should be accountable. But, rather than the board being critical they should be a tremendous resource. Questions like, "What can we do to help you meet your objectives?" Are the goals and objectives realistic and attainable? We all have egos but they must be set aside when you have so many depending on your judgment and actions. No one person knows everything about everything. We cannot micro-manage everything. It doesn't work. We have to empower people to get the job done. People love to succeed and given the right resources they "WILL" make it happen. Think about this..... I'm sure you have all purchased a Mutual Fund at one time or another. You selected a company and a fund and you invested. That company empowered some individual to handle your money. Guess what... You didn't even know that person. Everyone you deal with here you know and they know you. We are empowering you to handle things for us. In turn you need to empower others to get their job done. I know the Board is made up of those who care about this community and it is strictly a voluntary position but a lot of folks who care also are here on compensated jobs. Their desire, as ours, is to be profitable and make this area a success. Compensation is a wonderful tool if used correctly. People should not be quitting us. If we are a resource to them and help them they will be eager to help us. It should be at our option to get rid of non-performers. I know you are probably as sick of reading comments as I am. I have one more thing regarding Michael Fleming. I have seen pros and cons. I can only say and feel that you in your infinite wisdom have made sure the punishment fits the crime. I worked for General Motors and we definitely had a "Code of Conduct." Anywhere, from probation, loss of company car for period of time and up to and including discharge. It all depended on the nature of the infraction. I would not for a moment second guess your settlement with Michael. I'm sure there were the proper folks with the proper guidance involved.
Thanks for your time.

Ron, -------- Original Message -------- Subject: CLAC meeting Date: Thu, 8 Jul 2004 16:39:32 -0400 Seems this board does not want to directly face the Property Owners. I do not understand them. They were elected to serve and now are saying we will do as we want. All we want is answers. We are all intellegent here and certainly do not want to interfere with the legal issue. If a question cannot be answered then tell us the reason why and we will except that. We certainly do not want the Law down on us. The reason for this disagreement is because the board is being so secretive as if they have something to hide. You board members have made this an issue because of your behavior and have brought this upon yourselves. It is perfectly reasonable for us to call for a special meeting and expect you to attend. If you are unwilling to do that then I would like you to explain to me why you won't and not tell me about a regularly scheduled meeting. Yes, you may tell us in due time but we have certain questions that need to be answered, now. We the electorate usually tell the elected what to do and what not to do. All of you are good, intelligent people and I voted for some of you but you can't treat us like children and expect us to sit still like good little girls and boys. I want all of you to know that my husband and I and our daughter and her family are homowners here. From what has been printed by a board member we are the so called "trunk slammers". Are those who go to a warmer climate in the Winter also "trunk slammers" ? If we are NOT to be included in the business of Canadian Lakes then I feel we are second class here and should be accorded certain benefits which follow: WE SHOULD HAVE OUR ASSESSMENT AND ASSOCIATION DUES LOWERED BY 50% to 75% FOR THESE REASONS:
1. We do not use the lakes as often as you do Other than that we are decent, well-mannered, educated, intelligent people and maintain our property as good or better than some. Other than the lake for boating, and the roads for travel, I can't think of a thing we use here. We do enjoy the forest and the wildlife but that was provided by Mr. Bollman and the Almighty. If I am out-of-line, I am sorry, but I sure do feel a lot better since I got this off my chest.
Send me an e-mail if you have any questions that you think I may be able to answer and I'll get back to you as soon as I can.
