ARTICLE I..........NAME AND DURATION
Section 1.1 - Official Name. The official name of the organization referred to in these bylaws is the Lakeway Youth Football Association (L.Y.F.A.).
Section 1.2 - Duration. The existence of the L.Y.F.A. Shall be perpetual, except that it may be terminated by a majority decision of its members or board of directors, as hereinafter constituted.
Section 1.3 - Dispersal. In the event of dispersal of the L.Y.F.A and after liquidation, all assets are to become property of the Boys and Girls Club of Morristown, Tennessee.
Section 1.4 - League Colors. The colors of the L.Y.F.A. is Maroon and Old Gold.
ARTICLE II..........REFERENCES AND DEFINITIONS
Section 2.1 - Lakeway Youth Football Association. The expressions, "Lakeway Youth Football League," "Youth Football League," "League" or ":L.Y.F.A.," as used herein, shall all mean and refer to the Lakeway Youth Football Association.
Section 2.2 - Additional References and Definitions. As used herein, the following expressions shall have the meanings ascribed to them:
A. "President" shall mean the President of the L.Y.F.A. and the Chairman of it's Board of Directors.
B. "Administrating" shall mean the official leadership management officers of the League.
C. "Member" or "members" shall mean and refer to an active head football or cheerleading coach and board of directors.
Section 3.1 - In General. The general objective and purpose of the L.Y.F.A. is to promote confidence, self esteem and the ability to achieve set goals for the youth of the lakeway community through team sports.
ARTICLE IV..........ACTIVE MEMBERS OF THE L.Y.F.A.
Section 4.1 - Number. The number of active members of the L.Y.F.A. shall be equal to the number of head football and cheerleading coaches plus the number of members of the board of directors.
A. The number of board members are not to exceed 11 including the president.
Section 4.2 - Characteristics and Attributes of Active Members. All active members of the L.Y.F.A. shall possess such attributes of character and integrity as are established by the board of directors. Active members will be persons who have demonstrated successful patterns of achievement and living, and whose background, expertise, personalities and abilities will enhance the accomplishment of the objectives and purposes of the L.Y.F.A., as stated in Article III.
Section 4.3 - Eligibility. Each active member must be a head coach in the league and approved by the L.Y.F.A. board of directors, or a member of the board of directors elected biennially by the head coaches of the L.Y.F.A.
Section 4.4 - Nomination of Board of Directors and the Nominating Committee. Prospective board members of the L.Y.F.A. shall be those persons who are nominated as candidates by the nominating committee. The nominating committee shall consist of three active members at large and four members of the board of directors including the president. At the August meeting of the L.Y.F.A. in odd numbered years, the members of the nominating committee shall meet and decide upon names of candidates for the board of directors to be presented to the L.Y.F.A. at the September meeting. Any active member of the L.Y.F.A. may at any time propose a person for consideration by the nominating committee as a candidate. The board of directors must be addressed by a written communication suggesting such name and containing essential information and background relating to said person, and in sufficient quantity and detail so as to inform the nominating committee as to qualifications of such person for a board member of the L.Y.F.A.
Section 4.5 - Voting on Candidates. At the October meeting of the L.Y.F.A. the president will inform the active members concerning the desirability of filling vacancies in the membership and submit the report of the nominating committee, including the names of any and all candidates proposed for membership by the nominating committee. "Forthwith following such report, the active members shall vote upon the names of said candidates. Candidates shall be approved and installed as an active member if he or she receives a favorable vote of the majority of the active members present at a meeting wherein a quorum is present.
Section 4.6 - Terms of Office of Active Members. All active football and cheerleading coaches shall serve a one season term. At the end of that term the coaches must be approved by the board of directors to coach the following season. All board members will serve a two calendar year term. At the end of that term board members must be elected by the general membership which is composed of head football and cheerleading coaches and the board of directors including the president.
Section 4.7 - Resignation. Any active member may at any time resign as an active member of the L.Y.F.A. by submitting a written resignation to the president. Such resignation shall become effective when the president receives such written resignation.
Section 4.8 - Removal of an Active Member. Any active member of the L.Y.F.A. may be removed with just cause, by a majority vote of the board of directors at a meeting at which a quorum is present, provided that no action will be taken to remove and active member unless such action has been previously recommended to the L.Y.F.A. by a majority vote of the board of directors.
Section 4.9 - Removal for Non-Attendance. Any football or cheerleading coach who misses two or more mandatory meetings shall be placed in an inactive status and shall be named an emeritus member of the league. Any member of the board of directors who misses three monthly and or mandatory meetings shall be reviewed for dismissal from the board of directors.
Section 4.10 - President as an Active Member. The President of the L.Y.F.A. may vote only in the general election. In matters brought to the board of directors the president is the ex-officio and votes only when there is a tied vote.
ARTICLE V..........MEMBERS EMERITUS
Section 5.1 - Members Emeritus. Members emeritus will consist of all people who have been active members of the L.Y.F.A., but whose membership has terminated by pursuant of Section 4.7, 4.8, 4.9.
Section 5.2 - Assistance by Members Emeritus. From time to time the L.Y.F.A. may call upon or seek the assistance of members emeritus, either individually or collectively, to accomplish the objectives and purposes of the L.Y.F.A.
ARTICLE VI..........MEETINGS OF ACTIVE MEMBERS AND PROCEDURES
Section 6.1 - Regular Meetings. Regular meetings of the active members of the L.Y.F.A. shall be held once a month. The hours, date, and place for such meetings shall be as determined by the president of the L.Y.F.A., acting with the approval of the board of directors. The secretary shall give verbal notice of said meetings at the beginning of the season and a week prior to the meeting if the time and or date is changed.
Section 6.2 - Special Meetings. Special meetings of the active members may be called at any time by the President by giving the active members at least 48 hours and no later than 24 hours verbal notice.
Section 6.3 - Quorum of Active Members at Meeting (Board Members Only). A quorum of the active board members at meetings shall consist of at least 1/3 of the board of directors with at least one officer present.
ARTICLE VII..........OFFICERS
Section 7.1 - List of Officers. The L.Y.F.A. shall have the following officers: a president, a first vice president, a second vice president, a secretary, and a treasurer. The L.Y.F.A. board of directors may also appoint such additional officers and assistant officers as are necessary or desirable, in the opinion of its members.
Section 7.2 - Election of Officers. At the January meeting of the L.Y.F.A. in calendar years having an even last digit, the board of directors of the L.Y.F.A. shall elect from among their numbers officers as stated in Section 7.1
Section 7.3 - Terms of Office. The terms of each elective or appointive office of the league shall be for two years unless said term is due to a replacement of said position of office.
Section 7.4 - Removal. Any appointive or elective officer may be removed at any meeting of the league with just cause by a majority vote of the board of directors of the L.Y.F.A. present at such meeting, provided that no action will be taken to remove an officer unless such action has been recommended by the board of directors of the L.Y.F.A.
Section 7.5 - Duties of the President. The league president shall be responsible for the administration and performance of the objects and purposes of the L.Y.F.A., and working with the members of the board of directors will supervise the organization and affairs of the league. The president shall preside at all meetings of the league (regular, mandatory, or special called meetings). The president shall be a member of all committes with full voting privileges thereon. The president shall be considered the chief executive officer of the league, and shall from time to time make recommendations to the league for the purposes of promoting its usefulness and effectiveness to the community. The president shall be responsible for planning, implementing and supervising the meetings of the L.Y.F.A. and its programs.
Section 7.6 - Duties of the First Vice President. In the absence of the president, the first vice president shall perform the duties and functions of the president and serve in his or her place. The First vice president shall have other duties as may be assigned to him or her by the L.Y.F.A.
Section 7.7 - Duties of the Second Vice President. In the absence of the president and the first vice president, the second vice president shall perform the duties and functions of the president and serve in his or her place. In the absence of the first vice president, the second vice president shall perform the duties and functions of the first vice president and serve in his or her place. The Second vice president shall have other duties as may be assigned to him or her by the L.Y.F.A.
Section 7.8 - Duties of the Secretary. The secretary shall perform the customary duties of such office, keeping records of the meetings of the league, the board of directors and league committees. His or her duties shall include giving notice of meetings of the league and notice of meetings of the board of directors. He or she shall also be responsible for keeping membership roll and performing such other duties as may be assigned to him or her.
Section 7.9 - Duties of the Treasurer. The treasurer shall perform such duties as writing checks, paying bills, collecting monies, giving financial reports and handling the overall finances of the league. The duties of the treasurer may combine with the duties of the secretary making the position secretary/treasurer.
Section 7.10 - Nomination of Officers. The nominating committee will nominate candidates from the active members at large to fill vacancies. Candidates' names must be submitted to the secretary who in turn will notify the board elect of the nominations at least 30 days prior to the meeting at which the nominees will be voted upon by the board of directors.
ARTICLE VIII..........OTHER COMMITTEES
Section 8.1 - General Provisions. Except as the same may be expressly provided to the contrary, the board of directors shall have the authority to establish and set policies and procedures for all committees of the L.Y.F.A.
Section 8.2 - Committees and their Membership. Committees will be appointed by the board of directors. Whenever an appointment is made, the board of directors will direct and supervise the activities of the committee it appoints, including the selection of members, receiving reports and discharging the committee.
Section 8.3 - Terms. Ordinarily, the terms of membership on committees shall be for two (2) years unless otherwise specified by the appointive authority.
Section 8.4 - Quorums of Committees. A majority of the members of a committee shall be a quorum for the transaction of business, but must have board approval.
Section 8.5 - Responsibility of Committees. Each committee shall be responsible to the L.Y.F.A. for the proper conduct of its function and its duties shall be carried out in collaboration with the board of directors.
ARTICLE IX..........RECORDS
Section 9.1 - Maintenance of Records. The league shall maintain a central file at the office of the L.Y.F.A. All such records shall be available upon specified request to the active members and board of directors of the L.Y.F.A.
Section 9.2 - Minutes. The secretary will be the custodian of the minute book of the L.Y.F.A., and the same will be kept at the league office.
ARTICLE X..........FINANCIAL MATTERS
Section 10.1 - General Statement. In view of the fact that the purpose of the L.Y.F.A. will engage in financial transactions, and no officer, member or representative of the L.Y.F.A. shall have the power or authority to expend any funds, commit for the expenditure of any funds, borrow any monies, incur any indebtedness, or otherwise engage in any financial affairs or transactions on behalf of the L.Y.F.A. without the approval of the board of directors.
Section 10.2 - Reimbursable Expenses. Any personal expense incurred by said member may be reimbursed by the L.Y.F.A. with the approval by the board of directors.
ARTICLE XI..........AMENDMENTS
Section 11.1 - Amendments of Bylaws. Amendments or supplements to these bylaws must be submitted by October 1st of said season. Any active member may submit amendments or supplements at a special called meeting.

I, The undersigned, do hereby certify:
That the foregoing bylaws were duly and regularly adopted as the bylaws of the Lakeway Youth Football Association by the league's board of directors on two successive regular meetings of the league, and four successive meetings of the leagues Bylaw Committee.
That I, duly elected Secretary of the Lakeway Youth Football Association did serve as secretary of said meetings.
