BYLAWS OF THE LAKEWAY YOUTH FOOTBALL ASSOCIATION

ARTICLE I..........NAME AND DURATION

Section 1.1 - Official Name. The official name of the organization referred to in these bylaws is the Lakeway Youth Football Association (L.Y.F.A.).

Section 1.2 - Duration. The existence of the L.Y.F.A. Shall be perpetual, except that it may be terminated by a majority decision of its members or board of directors, as hereinafter constituted.

Section 1.3 - Dispersal. In the event of dispersal of the L.Y.F.A and after liquidation, all assets are to become property of the Boys and Girls Club of Morristown, Tennessee.

Section 1.4 - League Colors. The colors of the L.Y.F.A. is Maroon and Old Gold.

ARTICLE II..........REFERENCES AND DEFINITIONS

Section 2.1 - Lakeway Youth Football Association. The expressions, "Lakeway Youth Football League," "Youth Football League," "League" or ":L.Y.F.A.," as used herein, shall all mean and refer to the Lakeway Youth Football Association.

Section 2.2 - Additional References and Definitions. As used herein, the following expressions shall have the meanings ascribed to them:

A. "President" shall mean the President of the L.Y.F.A. and the Chairman of it's Board of Directors.

B. "Administrating" shall mean the official leadership management officers of the League.

C. "Member" or "members" shall mean and refer to an active head football or cheerleading coaches and board of directors.

ARTICLE III..........OBJECTS AND PURPOSES

Section 3.1 - In General. The general objective and purpose of the L.Y.F.A. is to promote confidence, self esteem and the ability to achieve set goals for the youth of the lakeway community through team sports.

ARTICLE IV..........ACTIVE MEMBERS OF THE L.Y.F.A.

Section 4.1 - Number. The number of active members of the L.Y.F.A. shall be equal to the number of head football and cheerleading coaches plus the number of members of the board of directors.

A. The number of board members are not to exceed 11 including the president.

Section 4.2 - Characteristics and Attributes of Active Members. All active members of the L.Y.F.A. shall possess such attributes of character and integrity as are established by the board of directors. Active members will be persons who have demonstrated successful patterns of achievement and living, and whose background, expertise, personalities and abilities will enhance the accomplishment of the objectives and purposed of the L.Y.F.A., as stated in Article III.

Section 4.3 - Eligibility. Each active member must be a head coach in the league approved by the L.Y.F.A. board of directors, or a member of the board of directors elected biennially by the head coaches of the L.Y.F.A.

Section 4.4 - Nomination of Board of Directors and the Nominating Committee. Prospective board members of the L.Y.F.A. shall be those persons who are nominated as candidates by the nominating committee. The nominating committee shall consist of three active members at large and four members of the board of directors including the president. At the August meeting of the L.Y.F.A. in odd numbered years, the members of the nominating committee shall meet and decide upon names of candidates for the board of directors to be presented to the L.Y.F.A. at the September meeting. Any active member of the L.Y.F.A. may at any time propose a person for consideration by the nominating committee as a candidate. The board of directors must be addressed by a written communication suggesting such name and containing essential information and background relating to said person, and in sufficient quantity and detail so as to inform the nominating committee as to qualifications of such person for a board member of the L.Y.F.A.

Section 4.5 - Voting on Candidates. At the October meeting of the L.Y.F.A. the president will inform the active members concerning the desirability of filling vacancies in the membership and submit the report of the nominating committee, including the names of any and all candidates proposed for membership by the nominating committee. "Forthwith following such report, the active members shall vote upon the names of said candidates. Candidates shall be approved and installed as an active member if he or she receives a favorable vote of the majority of the active members present at a meeting wherein a quorum is present.

Section 4.6 - Terms of Office of Active Members. All active football and cheerleading coaches shall serve a one season term. at the end of that term the coaches must be approved by the board of directors to coach the following season. all board members will serve a two calendar year term. At the end of that term board members must be elected by the general membership which is composed of head football and cheerleading coaches and the board of directors including the president.
